Terms & Conditions
Unless otherwise stated, all quotations exclude shipping and insurance costs; are FOB Fredonia, PA, USA; and are in US Dollars. For sales outside the United States, payment must be made in US Dollars via wire transfer. Commodities, technology, or software sold internationally must be exported from the United States in compliance with applicable Export Administration Regulations.
Products manufactured and sold by Grace Industries, Inc. are warranted to be free from defects in materials and workmanship for a period of one (1) year from the date of shipment. This warranty does not apply to products that have been subjected to abuse, negligent handling, misapplication, or unauthorized modification. Any product found to be defective under this warranty will be repaired or replaced, at the sole discretion of Grace Industries, Inc.
Unless otherwise set forth in a separate written agreement, this warranty constitutes the sole and exclusive warranty provided by Grace Industries, Inc. There are no other warranties, express or implied, including but not limited to any implied warranties of merchantability or fitness for a particular purpose, and no warranties extend beyond the original purchaser. Consulting, Training, and Design Services are provided on an “as is” basis, without warranties of any kind.
In no event shall Grace Industries, Inc. be liable for any direct, indirect, incidental, or consequential damages, for any reason including infringement of patent or other third-party rights, arising out of or related to the use of its products or Consulting, Training, or Design Services.
Standard payment terms are Net Thirty (30) days from the date of invoice. Credit terms may be extended solely to customers who have completed the Company’s credit application process and have received formal written credit approval by Grace Industries, Inc. All credit privileges are contingent upon the customer maintaining the account in good standing. The Company reserves the right, at its sole discretion, to modify, suspend, or revoke credit terms at any time based on payment history, creditworthiness, or failure to comply with agreed payment terms.
